Limited Partnership

The name of a limited partnership shall contain the words “limited partnership”, the abbreviation “L.P.”, or “LP”, or the combination “ltd. partnership.

The name of a limited partnership shall not contain the name of a limited partner unless:

  • It is also the name of a general partner or the corporate name of a corporate general partner; or
  • The business of the limited partnership has been carried on under that name before the admission of that limited partner.

Registered Limited Liability Partnerships

A registered limited liability partnership’s name must contain the words “registered limited liability partnership,” the abbreviation “L.L.P.” or "RLLP" as the last words or letters of its name.

Regardless of the fact that a registered limited liability partnership is a general partnership in nature and in most cases the general partnerships have already been formed prior to the date of their limited liability application, the registered limited liability partnership’s name must meet the requirements of N.C.G.S. 55D-20 and N.C.G.S. 55D-21.
