Requirements

The document used by a foreign entity to register to do business in North Carolina are specific to the type of entity.

The application must include the following information

• Name
  • Certain restrictions apply to foreign names. The entity may need to submit a fictitious name for use in North Carolina
• State or Country of Formation
  • You must specify the state or country in which the entity was originally formed along with the date of formation.
• Period of Duration
  • The period of duration must be stated as perpetual, unlimited, or a specific date. The information must be consistent with the information within the Articles or Registration in the home jurisdiction.
• Principal Office
  • The principal office street address and mailing address, if different, must be stated.
• Registered Agent/Office
  • A foreign entity is required to have a registered agent and office located in North Carolina.
• Officers/Company Officials/Partners
  • The names and business addresses of the current officers, company officials, or general partners of the business entity are required. The document must be signed by one of the persons listed.
• Certificate of Existence
  • The Application must include a Certificate of Existence (or similar document) not more than 6 month from the home jurisdiction.
• Professional Licensing Boards
  • Professional Entities as listed under Chapter 55B have additional requirements before qualifying to transact business in North Carolina.
